Terms of subscription
1. Preliminary provisions
1.1 The Qiplim solution is a SaaS web application (the “Solution”), available at qiplim.com and published by Pando Studio, a simplified joint-stock company with share capital of 1,000 euros, registered with the Nantes RCS under number 853 321 040, whose registered office is at 40 rue de la Tour d’Auvergne, Nantes (44200) (“Pando Studio”).
The Qiplim service is published and operated by Pando Studio SAS, which runs the Qiplim project and is a shareholder of Qiplim SAS. The intellectual property rights in Qiplim are the subject of an assignment agreement from Pando Studio SAS to Qiplim SAS.
1.2 These terms of subscription (the “Terms”) apply in full to any use of the Solution by any professional customer (the “Customer”). The Solution may be used free of charge after creating a personal account, or for a fee by taking out a subscription (the “Subscription”).
1.3 Creating an account on the Solution implies unreserved acceptance of the Terms, which prevail over any terms and conditions of the Customer.
1.4 If any clause of the Terms is found to be void or is annulled, for any reason whatsoever, the other clauses will continue to apply.
1.5 The applicable Terms are those in force when the account is created. Pando Studio reserves the right to modify them at any time, provided it informs the Customer by email no later than two (2) months before they take effect.
1.6 The Customer agrees in advance, in accordance with Article 1216-1 of the French Civil Code, that Pando Studio may assign all or part of this contract to any affiliated company taking over the publishing of the Solution, in particular the company Qiplim SAS, without that assignment requiring the Customer’s prior consent. The Customer will be informed by email at least fifteen (15) days before it takes effect; the assignment does not in itself change the terms of the service or the prices in force.
2. Taking out a subscription
2.1 To use the Solution, the Customer’s legal representative (the “Administrator”) must create a personal account.
2.2.1 The Subscription takes effect when it is taken out and is concluded for the monthly or annual term chosen by the Customer. At the end of this period, it renews automatically, unless the Customer cancels it from their subscription management area (effective at the end of the current period) or by registered letter with acknowledgement of receipt.
2.2.2 Pando Studio may change the Subscription price on each renewal date, provided it informs the Customer no later than one month beforehand.
2.2.3 Any period started is due in full. In the event of a payment incident, Pando Studio reserves the right to suspend access, with a fixed compensation fee of 40 euros and late payment penalties at three times the legal interest rate.
2.2.4 The Subscription may be preceded by a free trial period of thirty (30) days. The trial requires bank card details; no charge is made before the end of the trial period. Unless the Customer cancels before it ends, which they can do at any time and free of charge from their subscription management area, the Subscription starts automatically at the end of the trial and the first payment is taken. A reminder email is sent to the Customer before the trial period ends.
3. Use of the Solution
3.1 The Customer is informed that the Solution includes a generative AI module. The Customer must check input and output data before approving it. It is recommended to anonymise the documents provided.
3.2 AI credits (the “Credits”) included in each plan are valid for one month and do not roll over.
3.3 Any Credit deducted is not re-credited if an action is cancelled.
4. Price and payment
4.1 The price of the Subscription is shown on the Solution when subscribing.
4.2 Subscription invoices are payable in euros, via Stripe. If the Subscription ends during a period, no refund is made.
5. Termination
The Subscription may be terminated as of right in the event of a breach of obligations, judicial reorganisation proceedings or force majeure, within thirty (30) calendar days after formal notice.
6. Intellectual property
The Customer retains ownership of their content. Pando Studio grants a non-exclusive, non-transferable licence to use the Solution for the term of the Subscription.
7. Liability
Pando Studio’s liability is limited to direct and foreseeable damage. Pando Studio cannot be held liable for indirect damage, loss of profits or commercial loss.
8. Governing law
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before taking any legal action. Failing that, the courts of Nantes will have sole jurisdiction.

4. Transfers outside the European Union
Your accounts, your content and your results are hosted in France, with Clever Cloud. Three services involve a provider established in the United States: Cloudflare, which protects the site and encrypts traffic, covered by the standard contractual clauses and the Data Privacy Framework; illustration generation; and GitHub (Microsoft Corporation), which hosts the source code and the continuous integration / continuous deployment (CI/CD) that deploys the application to Clever Cloud, with no personal data of users in normal operation, covered by the EU-US Data Privacy Framework and the standard contractual clauses. If you choose an American AI (OpenAI, Anthropic, Google), the requests concerned are sent to it.
For sensitive organisations, regulated mode uses only Mistral AI models and switches off illustration generation.
5. Artificial intelligence
By default, Qiplim’s AI is served by Mistral AI, on its servers in Europe. You retain full ownership of your content. AI-generated content consists of suggestions subject to your approval: no decision producing legal effects is taken solely on the basis of automated processing, within the meaning of Article 22 of the GDPR.
6. Your rights
Under the GDPR, you have the right of access, rectification, erasure, restriction, portability and objection, as well as the right to withdraw your consent at any time.
From your account, the Data section lets you export your data and delete your account. For any other request: contact@qiplim.com. You may also lodge a complaint with the CNIL (www.cnil.fr).
7. Security
Traffic is encrypted in transit. Your data is hosted in France with Clever Cloud, a hosting provider certified ISO 27001 and HDS, and your AI keys are encrypted at rest.
Accessibility
Qiplim aims to conform to level AA of WCAG 2.1. Keyboard navigation, labels and ARIA attributes of activities are checked automatically with every release.
An external RGAA audit has been carried out on Studio (studio.qiplim.com); the non-conformities it found are being fixed.
